Terms and Conditions for Any Guru Platform

1. Introduction

Welcome to the Any Guru Platform (“the Platform”), operated by Upstream Outcomes Ltd (“we”, “us”, “our”).

These Terms and Conditions govern your access to and use of the Platform and any related services we provide through it, including AI-powered business coaching, guidance, tools, resources and support for businesses and organisations.

By accessing or using the Platform, you agree to be bound by these Terms and Conditions. If you do not agree to these Terms and Conditions, you must not use the Platform.

2. About the Platform

Any Guru is a platform designed to provide business support through a combination of:

  • AI-powered guidance and recommendations;
  • digital tools and resources;
  • action planning and progress tracking;
  • access to human coaches, advisers or Gurus where available.

The Platform is intended to help users explore ideas, develop plans, improve business capability and access practical support. It is not a substitute for regulated or specialist professional advice.

3. Who Can Use the Platform

The Platform is intended for individuals aged 18 or over who are:

  • operating a business;
  • supporting the operation or growth of a business;
  • considering starting a business;
  • or otherwise using the Platform in a professional or organisational capacity.

By using the Platform, you confirm that:

  • you are at least 18 years old;
  • the information you provide is accurate and complete;
  • and you have authority to provide information on behalf of a business or organisation where relevant.

4. User Types

Users of the Platform may include:

Business Users

Business owners, managers, employees, founders, advisers, or other individuals using the Platform for business support, development or planning.

Gurus

Coaches, advisers, mentors, moderators, administrators or other authorised personnel who provide support, insight or platform services.

We may control access levels, features and permissions depending on user role.

5. Platform Services

The Platform may include, without limitation:

  • AI-driven tools for planning, prioritisation, idea development and personalised recommendations;
  • digital coaching journeys and guided activities;
  • resources relating to sales, marketing, finance, HR, operations, strategy, technology and growth;
  • milestone, action and goal tracking features;
  • human coaching, advisory or support services where offered;
  • communications, feedback and progress review tools.

We may add, remove, amend or suspend features from time to time.

6. Account Registration and Access

To access some features, you may need to create an account.

You agree to:

  • keep your login details secure and confidential;
  • provide accurate, current and complete information;
  • update your information where necessary;
  • notify us promptly if you believe your account has been accessed without permission.

You are responsible for activity carried out through your account unless caused by our failure to maintain appropriate security.

We reserve the right to suspend or restrict access where we reasonably believe there has been unauthorised access, misuse, or a breach of these Terms.

7. Acceptable Use

You must use the Platform lawfully and responsibly.

You must not:

  • use the Platform for any unlawful, harmful, fraudulent or misleading purpose;
  • upload, submit or share content that is abusive, defamatory, discriminatory, offensive, threatening or obscene;
  • attempt to gain unauthorised access to systems, accounts or data;
  • interfere with the operation, security or performance of the Platform;
  • use the Platform to distribute malware, spam or malicious code;
  • copy, scrape, reproduce, reverse engineer, republish or exploit the Platform or its content except as permitted by law or with our written consent;
  • use AI outputs from the Platform in a misleading way, including presenting them as regulated professional advice or guaranteed outcomes.

By using the Platform, you acknowledge that we may collect and use information you provide, along with usage and technical data, in order to:

  • operate the Platform;
  • personalise support;
  • provide coaching and guidance;
  • improve services;
  • maintain security;
  • and meet legal or contractual obligations.

Where processing is based on consent, you may withdraw that consent at any time, although this will not affect processing already carried out lawfully before withdrawal.

9. AI-Powered Features

The Platform includes AI-powered features that may generate suggestions, summaries, plans, recommendations, prompts, feedback or other outputs based on the information you provide.

By using these features, you acknowledge and agree that:

  • AI-generated content is provided for general informational and support purposes only;
  • outputs may be incomplete, inaccurate, outdated or not fully suitable for your circumstances;
  • AI outputs should be reviewed carefully before you rely on them;
  • you remain responsible for decisions, actions and outcomes arising from your use of the Platform.

AI functionality is intended to support your thinking and planning. It does not constitute legal, financial, tax, employment, clinical, regulatory or other specialist professional advice.

10. Coaching and Human Support

Where Gurus, advisers or coaches provide support through the Platform, that support is offered as general business guidance unless expressly stated otherwise.

You remain responsible for:

  • evaluating the relevance of any guidance given;
  • seeking independent specialist advice where needed;
  • and making your own decisions in relation to your business, staff, finances, customers, operations or compliance obligations.

11. Intellectual Property

All intellectual property rights in the Platform, including its software, content, branding, design, guidance materials, resources and underlying systems, are owned by or licensed to Upstream Outcomes Ltd, unless otherwise stated.

You may use the Platform and its materials for your own internal, lawful business use only.

You must not, without our prior written permission:

  • copy, reproduce, modify, distribute, republish or commercially exploit Platform content;
  • remove copyright, trade mark or proprietary notices;
  • create derivative works from Platform materials other than for your own internal use as permitted through the service.

You retain ownership of content you submit to the Platform, but you grant us a non-exclusive, worldwide, royalty-free licence to use, host, process and display that content for the purpose of operating, improving and supporting the Platform and related services.

12. Availability and Changes

We aim to keep the Platform available and functioning properly, but we do not guarantee uninterrupted or error-free access.

We may:

  • update or modify the Platform;
  • suspend access for maintenance, security or operational reasons;
  • withdraw features;
  • or change how services are delivered.

We are not liable for any loss caused solely by temporary unavailability, maintenance, or technical issues outside our reasonable control.

13. Fees and Paid Services

Some parts of the Platform may be provided free of charge, while others may be subject to fees under a separate proposal, order form, contract or subscription arrangement.

Where paid services apply, the relevant commercial terms will be provided separately. In the event of any conflict between these Terms and a signed commercial agreement, the signed commercial agreement will take precedence to the extent of that conflict.

14. No Guarantee of Outcomes

The Platform is designed to support business development and decision-making, but we do not guarantee any particular outcome, result, improvement, funding success, revenue increase, compliance result, business growth or commercial benefit.

Any examples, projections, recommendations, plans or insights provided through the Platform are illustrative only and should not be treated as guarantees.

15. Limitation of Liability

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for:

  • death or personal injury caused by negligence;
  • fraud or fraudulent misrepresentation;
  • or any other liability which cannot legally be excluded.

Subject to the above, to the fullest extent permitted by law:

  • the Platform and its content are provided on an “as is” and “as available” basis;
  • we make no warranties, representations or guarantees that the Platform will be uninterrupted, error-free or suitable for every purpose;
  • we are not liable for any indirect, consequential, incidental or special loss;
  • we are not liable for loss of profits, revenue, goodwill, opportunity, anticipated savings, business interruption or loss of data arising from or connected with your use of the Platform;
  • we are not liable for reliance placed on AI-generated or coach-provided guidance where you have not independently assessed its suitability for your circumstances.

If you use the Platform as a consumer, nothing in these Terms affects your statutory rights. Consumer-facing digital services in the UK are subject to consumer protection law, and businesses should ensure terms and practices comply with current consumer law requirements.

16. Suspension and Termination

We may suspend, restrict or terminate your access to the Platform if we reasonably believe that:

  • you have breached these Terms;
  • you have misused the Platform;
  • you have engaged in unlawful, fraudulent or harmful activity;
  • continued access would create a security, legal or reputational risk;
  • or we are required to do so by law.

You may stop using the Platform at any time.

Termination or suspension will not affect any rights or obligations that have accrued up to that point.

17. Third-Party Services and Links
